Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement governing access to and use of the Fortva platform and related services.
1. Legal Agreement and Acceptance
These Terms are entered into between Fortva, a document and contract management platform operated as a subsidiary of Fanada Group Company Limited, a company incorporated under the laws of the Republic of Ghana ("Fortva," "we," "us," or "our"), and the individual or entity accessing or using the Services ("Customer," "you," or "your").
By accessing, registering for, trialing, subscribing to, or otherwise using the Services, you expressly acknowledge that:
- you have read and understood these Terms in their entirety;
- you agree to be legally bound by them; and
- these Terms are enforceable in the same manner as a written, negotiated agreement.
If you do not agree, you must not access or use the Services.
2. Legal Capacity and Authority
2.1 Individual Users
If you are an individual, you represent and warrant that you are at least eighteen (18) years of age and have full legal capacity to enter into binding agreements under applicable law.
2.2 Organizational Users
If you are accessing or using the Services on behalf of a company, government entity, or other organization, you represent and warrant that:
- you have full authority to bind that organization to these Terms;
- the organization has authorized your use of the Services; and
- your acceptance of these Terms constitutes a valid and enforceable obligation of that organization.
Fortva may rely on these representations without further inquiry or verification.
3. Definitions and Interpretation
For purposes of these Terms, capitalized terms have the meanings set forth below or as otherwise defined in context.
- "Account" means the Customer's registered Fortva account.
- "Authorized Users" means individuals permitted by Customer to access the Services under Customer's Account.
- "Customer Data" means all documents, contracts, files, text, images, metadata, and other content uploaded, stored, or processed through the Services by or on behalf of Customer.
- "Documentation" means Fortva's published user guides, help materials, and technical documentation.
- "Free Trial" means the limited-duration evaluation access offered prior to a paid Subscription. However, to access the platform, your credit card will be charged.
- "Services" means Fortva's cloud-based document management and contract lifecycle management platform and related features.
- "Subscription" means Customer's paid access plan.
Headings are for convenience only and do not affect interpretation. Words such as "including" mean "including without limitation."
4. Description and Scope of the Services
Fortva provides a cloud-based Document Management System (DMS) and Contract Lifecycle Management (CLM) platform designed to assist organizations and individuals in organizing, storing, tracking, and managing documents and contracts.
The Services may include, without limitation:
- document upload, storage, indexing, and retrieval;
- document version control and audit trails;
- workflow automation and approval routing;
- contract drafting and lifecycle tracking;
- alerts for contract milestones and expirations; and
- access to pre-configured contract templates.
The Services are tools only. Fortva does not review Customer Data for legal sufficiency, enforceability, accuracy, or compliance.
5. No Legal, Financial, or Professional Advice
Fortva is not a law firm, accounting firm, or professional services provider. Nothing within the Services, Documentation, or Templates constitutes legal advice, financial advice, or professional advice of any kind.
Customer acknowledges and agrees that:
- the Services do not replace qualified legal counsel;
- reliance on the Services is solely at Customer's own risk; and
- Fortva disclaims any duty to warn, advise, or correct Customer regarding legal or regulatory compliance.
6. Account Registration and Administration
To access the Services, Customer must create an Account by providing accurate and complete information. Customer agrees to keep all Account information current and truthful.
For organizational Accounts, Customer may designate administrators who are authorized to manage users, permissions, configurations, and data access. Fortva is entitled to rely on instructions from Account administrators as being made on Customer's behalf.
Customer is solely responsible for all activities occurring under its Account, whether authorized or not.
7. Security and Credential Responsibility
Customer is responsible for safeguarding login credentials and access keys. Customer shall promptly notify Fortva of any suspected unauthorized access or security breach.
Fortva is not responsible for loss or damage arising from Customer's failure to maintain adequate security controls over its credentials or Authorized Users.
8. Acceptable Use and Restrictions
Customer shall use the Services only for lawful purposes and in accordance with these Terms. Without limitation, Customer shall not, and shall not permit any Authorized User to:
- violate applicable laws or regulations;
- upload or store unlawful, infringing, defamatory, or harmful content;
- interfere with system integrity, availability, or security;
- attempt to gain unauthorized access to the Services or related systems;
- reverse engineer, decompile, or attempt to extract source code;
- use the Services to provide competing services or resell access without authorization.
Fortva reserves the right to investigate suspected violations and take appropriate remedial action.
9. Customer Data Ownership and Responsibility
As between the parties, Customer retains all right, title, and interest in and to Customer Data. Fortva does not claim ownership of Customer Data.
Customer represents and warrants that:
- it has all rights, permissions, and lawful bases necessary to upload and process Customer Data;
- Customer Data does not violate any law or third-party rights; and
- Customer Data complies with all applicable data protection and record-keeping obligations.
Customer bears sole responsibility for the content, accuracy, legality, and consequences of Customer Data.
10. Data Processing Role and Limitation
Fortva processes Customer Data strictly as a data processor, acting on Customer's instructions for the purpose of providing the Services.
Customer acknowledges that Fortva may process limited technical, usage, and billing data as a data controller for operational, security, compliance, analytics, and service improvement purposes.
Customer remains responsible for determining the lawful basis for processing Customer Data and for complying with all applicable data protection laws.
11. Contract Templates Disclaimer
Fortva may provide access to pre-built contract or document templates for convenience only.
Customer expressly acknowledges and agrees that:
- templates are not legal advice;
- templates are generic and may not reflect Customer's jurisdiction, industry, or legal requirements;
- templates may be outdated or incomplete; and
- Fortva makes no representation or warranty that any template is legally valid, enforceable, or appropriate for any purpose.
Customer irrevocably waives any claim against Fortva arising from reliance on templates and assumes full responsibility for reviewing, modifying, approving, and using any template.
12. Free Trials, Subscriptions, and Billing
Fortva may offer a seven (7) day Free Trial. However, to access the platform, your credit card will be charged. Customer understands that unless the Subscription is canceled before the trial period ends, Customer authorizes Fortva to automatically charge the payment method on file.
Paid Subscriptions are billed in advance on a recurring basis in accordance with the selected plan. Fees are non-refundable except as expressly stated in these Terms.
13. 30-Day Money-Back Guarantee
Fortva offers a thirty (30) day money-back guarantee applicable to initial subscription fees only. To be eligible, Customer must submit a refund request within thirty (30) days of the initial charge.
The guarantee does not apply to:
- taxes,
- third-party fees,
- usage beyond plan limits, or
- abuse of refund policies.
14. Payment Failure and Non-Payment
If payment fails or becomes overdue, Fortva may suspend or restrict access to the Services without liability. Customer remains responsible for all outstanding amounts.
15. Suspension and Termination
Fortva may suspend or terminate access immediately if required by law, necessary to protect security, or due to misuse, non-payment, or breach of these Terms.
Upon termination, Customer's right to access the Services ceases, and Fortva may delete Customer Data in accordance with its data retention policies.
16. Availability and No Service Level Commitment
The Services are provided on an "as is" and "as available" basis. Fortva does not guarantee uninterrupted availability, uptime, or error-free operation.
17. Modifications
Fortva may modify the Services or these Terms at any time. Continued use constitutes acceptance of the modified Terms.
18. Communications
Legal notices must be sent to support@fortva.com. Electronic communications satisfy notice requirements.
19. Intellectual Property Rights
All intellectual property rights in and to the Services, including software, designs, trademarks, and Documentation, are and shall remain the exclusive property of Fortva. Customer is granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely in accordance with these Terms.
